AGREEMENT BETWEEN USER AND STEPHANIE JUDD AND ITS SUBSIDIARIES AND AFFILIATES (COLLECTIVELY, “STEPHANIE JUDD”)

The Stephanie Judd Website is composed of various web pages operated by Stephanie Judd. “Stephanie Judd Website” shall be defined herein to include www.stephaniejudd.com and all other web pages operated or hosted exclusively by Stephanie Judd (“Services”).

The Stephanie Judd Website is offered to you conditioned on your acceptance without modification of the terms, conditions and notices contained herein. Your use of the Stephanie Judd Website constitutes your agreement to all such terms, conditions and notices.

MODIFICATION OF THESE TERMS OF USE AND SALE

Stephanie Judd reserves the right to change the terms, conditions, and notices under which the Stephanie Judd Website is offered in our sole discretion, including but not limited to the changes associated with the use of the Stephanie Judd Website. Stephanie Judd reserves the right to disclose aggregated data, or information or statements we publish without attribution to any identifiable individual, or specific data or statements that you separately and specifically agree we can share with the larger public or media, without infringing upon the user's confidentiality.

PASSWORDS AND ACCOUNT SECURITY

You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services. Accordingly, you agree that you will be solely responsible to Stephanie Judd for all activities that occur under your account. If you become aware of any unauthorized use of your password or of your account, you agree to notify Stephanie Judd immediately at info@stephaniejudd.com. You agree to not share access to the Stephanie Judd Website.

TERMS OF SALE

Please read these Terms of Sale carefully as they form the basis of your contract with Stephanie Judd. This agreement is made at the time of ordering products or services from Stephanie Judd and becomes legally binding upon your first payment for the products or services. By purchasing products and services from Stephanie Judd, you signify you have read and accepted these Terms of Sale. Furthermore, once payment for the products or services is received by Stephanie Judd from you, your order is non-cancelable by you.

(a) Ordering and Product/Services Policies

You must be 18 years of age or over and possess the legal capacity and authority to purchase products or services from Stephanie Judd. You may not purchase Stephanie Judd products or services for any illegal or unauthorized purpose. Stephanie Judd reserves the right to refuse service to anyone for any reason at any time.

Stephanie Judd may, in its sole discretion, limit or cancel quantities purchased per person, per entity or per order, which may be due to limitations on availability of products or services, or other legitimate reasons. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that Stephanie Judd makes a change to or cancels an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.

Stephanie Judd reserves the right to discontinue the offering or sale of any product or service at any time. Any offer for purchase of any product or service made to Stephanie Judd on the Stephanie Judd Website is void where prohibited.

Prices for Stephanie Judd products and services are subject to change without notice, in the sole discretion of Stephanie Judd. Stephanie Judd is not liable to you or to any third-party for any modification, price change, suspension or discontinuance of a product or service.

(b) Payment and Credit Card Services

You agree to provide current, complete and accurate purchase and account information to Stephanie Judd for all purchases made at the Stephanie Judd Website. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that Stephanie Judd can complete your transactions and contact you as needed. Credit card information is processed for Stephanie Judd via third-party processing companies, and encrypted during transfer over networks.

(c) Refund Policy

All products and services sold or licensed by Stephanie Judd are nonrefundable.

(d) Proprietary Rights and IP Licenses; Publicity & Photo Releases

The products and services you purchase from Stephanie Judd, whether sold through the Stephanie Judd Website or other sales channel, comprise the intellectual property of Stephanie Judd (the “SJIP”). Stephanie Judd owns all right, title and interest to the SJIP, and your purchase of a product or service from Stephanie Judd grants you a limited, fully-paid, non-transferable, non-exclusive license to use one (1) licensed instance of the SJIP for the purposes intended by Stephanie Judd with respect to its product and services offerings. Your failure to pay any sums due for any Stephanie Judd product or service, or your making of any unauthorized copy of any Stephanie Judd product or service, automatically terminates this license. By purchasing any Stephanie Judd product or service, you hereby assign all right, title and interest in any ideas, inventions or improvements you may conceive of which are related to or derived from the SJIP to Stephanie Judd.

Additionally, Stephanie Judd occasionally uses the likenesses and comments of those who use its products and services to help advertise or market such products or services. Where appropriate, Stephanie Judd shall request from such product/services users written permission to use such likenesses or comments.

USE OF COMMUNICATION SERVICES

The Stephanie Judd Website may contain services, such as blog posting or other facilities (collectively, “Communication Services”) designed to enable you to communicate with an individual, the public at large or with a group. You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. Interfere with or disrupt the integrity or performance of the Communication Services, any portion or contents thereof, or related systems or networks;

Violate any applicable laws or regulations.

Stephanie Judd has no obligation to monitor the Communication Services. Stephanie Judd cannot verify the accuracy of statements that users make or place on or through the Communication Services and does not guarantee that any materials uploaded by users have been submitted with the permission of the copyright or proprietary owner or are otherwise in compliance with these Terms Of Use and Sale.

Always use caution when giving out any personally identifying information about yourself in any Communication Service. Stephanie Judd does not control or endorse the content, messages or information found in any Communication Service and, therefore, Stephanie Judd specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Stephanie Judd Website, you warrant to Stephanie Judd that you will not use the Stephanie Judd Website for any purpose that is unlawful or prohibited by these terms, conditions and notices. Specifically, you are not allowed to (directly or indirectly):

MATERIALS PROVIDED TO STEPHANIE JUDD OR POSTED TO ANY STEPHANIE JUDD WEBSITE

Stephanie Judd does not claim ownership of the materials you provide to Stephanie Judd (including feedback and suggestions) or post, upload, input or submit to any Stephanie Judd Website (collectively “Submissions”). No compensation will be paid with respect to the use of your Submission, as provided herein. Stephanie Judd is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in Stephanie Judd’s sole discretion.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

TERMINATION/ACCESS RESTRICTION

Stephanie Judd reserves the right, in its sole discretion, to edit, refuse to post, or remove any information or materials, in whole or in part, or to terminate your access to the Stephanie Judd Website and the related services or any portion thereof at any time, without notice.

This defense and indemnification obligation will survive these Terms Of Use and Sale and your use of the Services.

PERPETUITY RIGHTS

When these Terms Of Use and Sale come to an end, all of the legal rights, obligations and liabilities that you and Stephanie Judd have benefited from, been subject to (or which have accrued over time whilst the Terms Of Use and Sale have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of this agreement shall continue to apply to such rights, obligations and liabilities indefinitely.

GENERAL LEGAL TERMS

The Terms Of Use and Sale constitute the whole legal agreement between you and Stephanie Judd and govern your use of the Services (but excluding any services which Stephanie Judd may provide to you under a separate written agreement), and completely replace any prior agreements between you and Stephanie Judd in relation to the Services.

You acknowledge and agree that the form and nature of the Services, which Stephanie Judd provides, may change from time to time with or without prior notice to you.

As part of Stephanie Judd’s continuing innovation, you acknowledge and agree that Stephanie Judd may stop (permanently or temporarily) providing the Services to you or to users generally at Stephanie Judd’s sole discretion, without prior notice to you. You may stop using the Services at any time.

Unless you have been specifically permitted to do so in a separate agreement with Stephanie Judd, you agree that you will not reproduce, duplicate, copy, sell, trade or resell the Services for any purpose. You agree that you are solely responsible for (and that Stephanie Judd has no responsibility to you or to any third party for) any breach of your obligations under the Terms Of Use and Sale and for the consequences (including any loss or damage which Stephanie Judd may suffer) of any such breach.

You acknowledge and agree that while Stephanie Judd may not currently have set a fixed limit on the number of transmissions you may send, receive or store/manage through the Services, such fixed limits may be set by Stephanie Judd at any time, at Stephanie Judd’s discretion.

You agree that if Stephanie Judd does not exercise or enforce any legal right or remedy which is contained in the Terms Of Use and Sale (or which Stephanie Judd has the benefit of under any applicable law), this will not be taken to be a formal waiver of Stephanie Judd’s rights and that those rights or remedies will still be available to Stephanie Judd.

If any disagreement or dispute arises regarding these Terms Of Use and Sale or any rights or obligations conveyed hereunder, the disagreement shall be resolved, whenever possible, by meeting and conferring. If such efforts are unsuccessful, either you or Stephanie Judd (collectively “Parties” or individually “Party”) shall seek a resolution via binding arbitration, to be conducted in the State of Colorado and in accordance with the then-prevailing rules of the American Arbitration Association. Any award conferred shall be enforceable in any court of suitable jurisdiction in the State of Colorado. The arbitration requirement does not apply to requests for injunctive relief.

These Terms Of Use and Sale, and your relationship with Stephanie Judd under the Terms Of Use and Sale, shall be governed by the laws of the State of Colorado, USA, without regard to conflict of laws provisions. You and Stephanie Judd agree to submit to the exclusive jurisdiction of the courts located within the State of Colorado to resolve any legal matter arising from these Terms Of Use and Sale. Notwithstanding this, you agree that Stephanie Judd shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms Of Use and Sale is invalid, then that provision will be removed from the Terms Of Use and Sale without affecting the rest of the Terms Of Use and Sale, which will remain in full force and effect.
